Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Flowloopa platform, tools, and related services (collectively, the “Service”) provided by Flowloopa Solutions (“Flowloopa”, “we”, “our”, or “us”).

By creating an account, starting a free trial, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Who We Work With

Flowloopa is designed for businesses and professionals, especially PH-based businesses that want to organize leads, customers, and team productivity.

By using the Service, you represent and warrant that:

• You are at least 18 years old; and
• You have the authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Your Account

To use the Service, you may need to create an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your login details;
• All activity that occurs under your account; and
• Promptly notifying us of any unauthorized access or security issue.

We reserve the right to suspend or terminate accounts that provide false information, abuse the Service, or violate these Terms.

3. Subscriptions, Fees, and Billing

Some parts of the Service are provided on a paid subscription or one-time setup basis (the “Paid Services”). When you subscribe or purchase a setup package, you agree to:

• Pay all applicable fees shown at the time of purchase;
• Provide valid billing information; and
• Authorize us or our payment processor to charge your chosen payment method.

3.1 Billing Cycle

Subscription fees are typically billed in advance on a recurring basis (e.g., monthly) until cancelled. One-time setup fees are charged once, as specified on the pricing page or in your order.

3.2 Price Changes

We may update our prices from time to time. If we change subscription fees, we will provide notice in advance. Continued use of the Service after the price change takes effect constitutes your consent to the new price.

3.3 Refunds

Unless otherwise required by law or explicitly stated in writing, all fees are non-refundable. This includes fees for partial billing periods or unused features.

4. Free Trials & Promotions

We may, at our discretion, offer free trials or promotional access. The duration and conditions of any free trial will be communicated at the time of sign-up.

At the end of a free trial, your access may automatically convert to a paid subscription unless you cancel before the trial ends (if this is specified in the offer). We are not obligated to offer price adjustments or credits if you fail to cancel on time.

5. How You May Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You agree that you will not:

• Use the Service for any unlawful, harmful, or fraudulent purpose;
• Upload or transmit spam, unsolicited messages, or abusive content;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or attempt to extract source code from the Service;
• Resell, sublicense, or make the Service available to third parties as a competing product;
• Use the Service in a way that violates applicable laws, including data protection and anti-spam laws.

6. Your Data

When you use the Service, you may upload or input customer details, leads, messages, files, and other information (“Customer Data”). You retain ownership of your Customer Data.

You grant Flowloopa a limited license to host, process, transmit, and display Customer Data as necessary to provide and improve the Service.

Our handling of personal information is described in our separate Privacy Policy, which forms part of these Terms.

7. Third-Party Services & Integrations

The Service may integrate with third-party tools (e.g., email providers, calendars, messaging platforms). These third-party services are governed by their own terms and policies.

Flowloopa is not responsible for:

• The availability, security, or performance of third-party services; or
• Any damages or issues caused by your use of such services.

8. Intellectual Property

The Service, including all software, branding, logos, designs, text, graphics, and other materials provided by us, are owned or licensed by Flowloopa and are protected by intellectual property laws.

These Terms do not grant you any ownership rights in the Service or our content. You may not use our name, logo, or branding without our prior written consent.

9. Prohibited Content

You agree not to use the Service to store, send, or manage content that:

• Is illegal, defamatory, harassing, or invasive of privacy;
• Contains malware, viruses, or harmful code;
• Infringes any copyright, trademark, or other rights of third parties;
• Violates any applicable marketing, advertising, or communication regulations.

10. Service Availability & Modifications

We aim to keep Flowloopa running smoothly, but we do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

We may add, modify, or remove features from the Service at any time. If a change significantly reduces core functionality you rely on, we will make reasonable efforts to notify you in advance.

10.1 SMS Messaging & Mobile Terms

By opting into our SMS service, you agree to receive text messages from us. Message frequency may vary depending on your activity within the Service. Message and data rates may apply. For details regarding your text or data plan, please contact your wireless provider.

You may opt out of the SMS service at any time by texting "STOP". Once we receive your “STOP” message, we will send a confirmation SMS verifying your opt-out status. After this confirmation, you will no longer receive SMS messages from us.

If you wish to re-subscribe to SMS notifications, you may do so by signing up again through the same method you used initially or by updating your communication preferences within the Service (if available).

11. Termination

You may stop using the Service at any time. For paid subscriptions, cancellation will:

• Take effect at the end of your current billing period, unless stated otherwise; and
• Not automatically entitle you to a refund of previously paid fees.

We may suspend or terminate your access if:

• You violate these Terms;
• You fail to pay any applicable fees; or
• We are required to do so by law, regulation, or a government authority.

Upon termination, your access to the Service may be disabled. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

12. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or meet all of your expectations, nor do we guarantee any particular business results, sales numbers, or performance outcomes.

13. Limitation of Liability

To the maximum extent permitted by law, Flowloopa and its owners, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Service.

In any case, our total liability for any claim relating to the Service shall not exceed the amount you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Flowloopa and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service;
• Your violation of these Terms; or
• Your violation of any law or third-party rights.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date at the top and, where appropriate, notify you via email or within the app.

Your continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service shall preferably be resolved amicably. If unresolved, disputes may be brought before the competent courts located in the Philippines.
